Contributor Agreement

This Contributor Agreement ("Agreement") governs the relationship between Hudson Tribune ("we," "us," "our," or "Hudson Tribune") and any individual who submits articles, photographs, graphics, or other editorial content ("Contributor," "you," or "your") for publication on https://hudsontribune.com/ (the "Site"). By submitting content to Hudson Tribune, you agree to the terms of this Agreement.

1. Scope of This Agreement

Hudson Tribune works with both paid and unpaid (guest) contributors. The specific terms applicable to your contribution, including compensation (if any) and ownership of rights, will be confirmed individually with you, in writing (including by email), prior to or at the time of your submission. This Agreement sets out the general terms that apply to all contributors unless otherwise specified in your individual arrangement.

2. Compensation

Contributions to Hudson Tribune may be either:

  • Paid Contributions: Where a fee, rate, or other compensation is agreed upon between you and Hudson Tribune prior to submission. Payment terms, including rate and schedule, will be confirmed separately in writing for each assignment or arrangement.
  • Unpaid/Guest Contributions: Where content is submitted without financial compensation, such as guest opinion pieces, op-eds, or one-off submissions.

Whether a given contribution is paid or unpaid will be made clear to you before you begin work or submit your content. In the absence of a specific written agreement stating that a contribution is paid, it will be treated as an unpaid/guest contribution.

3. Ownership and Rights to Your Content

Depending on the terms agreed for your specific contribution, one of the following rights arrangements will apply:

3.1 Work-for-Hire Contributions

Where expressly agreed in writing, your contribution will be considered a "work made for hire" as defined under U.S. copyright law. In such cases, Hudson Tribune shall be the sole owner of all rights, title, and interest in the contributed content, including all copyrights, and you waive any claim to ownership. If, for any reason, the work is deemed not to qualify as a work for hire, you agree to irrevocably assign all rights, title, and interest in the content to Hudson Tribune.

3.2 Licensed Contributions

Where expressly agreed in writing, you will retain copyright ownership of your contribution, and instead grant Hudson Tribune a worldwide, perpetual, irrevocable, royalty-free, non-exclusive license to publish, reproduce, distribute, edit, adapt, archive, and promote your content on the Site and through our associated channels (including social media and syndication), in any format or medium, now known or later developed.

3.3 Determining Which Arrangement Applies

Whether a specific contribution is governed by Section 3.1 (Work-for-Hire) or Section 3.2 (License) will be specified in writing prior to or at the time of submission. If no specific arrangement is confirmed in writing, Hudson Tribune will treat the contribution as licensed content under Section 3.2.

4. Editorial Control

Hudson Tribune reserves the right to edit, condense, revise, fact-check, or decline to publish any submitted content at our sole discretion, in accordance with our Editorial Policy. We will make reasonable efforts to preserve the substance and intent of your work during any editorial review.

5. Contributor Representations and Warranties

By submitting content, you represent and warrant that:

  • The content is your own original work and does not infringe upon the copyright, trademark, privacy, publicity, or other rights of any third party;
  • The content does not contain any defamatory, unlawful, or knowingly false statements;
  • You have full authority and legal right to submit the content and grant the rights described in this Agreement;
  • Any facts, quotes, or claims in your submission are accurate to the best of your knowledge and properly sourced, consistent with our Editorial Policy;
  • You will promptly disclose any conflicts of interest relevant to the subject matter of your contribution.

6. Corrections and Accountability

You agree to cooperate with Hudson Tribune's editorial team in the event a correction, clarification, or retraction is required for your published content, in accordance with our Corrections Policy.

7. Attribution

Hudson Tribune will credit contributors by name (or agreed byline/pseudonym) on published content, except in cases where anonymity is specifically agreed upon in advance for legitimate editorial or safety reasons.

8. Indemnification

You agree to indemnify and hold harmless Hudson Tribune, its owners, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from a breach of your representations and warranties under this Agreement, or from any third-party claim related to your submitted content.

9. Termination of Contributor Relationship

Either party may end an ongoing contributor relationship at any time, for any reason, upon written notice. Termination does not affect rights already granted to Hudson Tribune for previously published content, nor does it affect payment obligations for work already completed and accepted.

10. Independent Contractor Status

Contributors act as independent contractors, not as employees, agents, or partners of Hudson Tribune. Nothing in this Agreement creates an employment relationship, and contributors are responsible for their own tax obligations related to any compensation received.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict of law principles, consistent with our Terms of Use.

12. Changes to This Agreement

We may update this Contributor Agreement from time to time. The "Last Updated" date at the top of this page reflects the most recent revision. Continued contribution to Hudson Tribune after changes are posted constitutes acceptance of the revised Agreement. Existing written arrangements for specific assignments remain governed by their originally agreed terms unless mutually revised.
